Terms and Conditions of Use
Welcome to PreventScripts! These Terms of Use (“Terms”) govern your access to and use of the services offered by Personal Medicine Plus, Inc., dba PreventScripts (“we” or “us”) via PreventScripts’ websites, web portals, and mobile apps (“PreventScripts” or the “Service”). By accessing or using PreventScripts, you agree to be bound by these Terms, our Privacy Policy, our Cookies Policy, our HIPAA Notice, our Community Guidelines, and any other supplemental terms for the Service offerings that you access (collectively, the “Agreement”).
Section 6 below sets out the terms governing any subscription you purchase. IF YOU PURCHASE A SUBSCRIPTION TO THE SERVICE, YOUR SUBSCRIPTION WILL BE AUTOMATICALLY RENEWED AT THE END OF THE DISCLOSED BILLING PERIOD AT OUR THEN-CURRENT FEE FOR SUCH SERVICE UNLESS YOU DECIDE TO CANCEL YOUR SUBSCRIPTION OR THE AGREEMENT IS TERMINATED. Additionally, in some locations you might have a “cooling off period.” For example, if you are a California resident and purchase a subscription and decide before midnight of the third business day following your purchase that you want to cancel your contract with us and receive a refund, you can mail a notice of cancellation to PreventScripts, Attn: Legal Department, 421 N 5th St, Paducah, KY 42001.
SECTION 12 (DISPUTE RESOLUTION) CONTAINS PROVISIONS THAT GOVERN HOW TO RESOLVE DISPUTES BETWEEN YOU AND US. UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT (AS DEFINED IN SECTION 12) WITHIN THIRTY (30) DAYS IN ACCORDANCE WITH SECTION 12.6 (OPT OUT): (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL. IN ARBITRATION, THERE IS LESS DISCOVERY AND APPELLATE REVIEW THAN IN COURT.
You should print a copy of the Terms or save them to your computer for future reference. We reserve the right to determine the form and means of providing notifications to you, and you agree to receive legal notices electronically if that’s what we decide. We may revise this Agreement from time to time and the most current version will always be posted on our website. If a revision, in our discretion, is material, we’ll notify you and we may require you to provide consent to the new Agreement in a specified manner before further use of the Service is permitted. For material changes to the dispute resolution provisions in Section 12, we will provide advance notice and a reasonable opportunity to reject the change, and any such change will not apply to disputes of which we are already aware. By continuing to access or use PreventScripts after revisions become effective, you agree to be bound by the revised Agreement. If you don’t agree to the revised Agreement, please stop using PreventScripts and cancel your subscription as set forth in Section 6.6 below.
1. OUR SERVICE
1.1 What We Do: Our mission is to help as many people as possible live healthier lives through prevention and behavior change. Our Service is designed to support weight loss, hypertension control, medication adherence, and overall physical and mental well-being. To access most features of the Service, you must register for an account and have a valid subscription or be referred by a participating healthcare provider.
1.2 Who Can Join: PreventScripts is not for everyone. You cannot use the Service if you are under 13 years old. The Service should never be used as a replacement for recommended medical or mental health treatment. If we determine that participation is not clinically appropriate, we may restrict access so your condition may be managed by a licensed medical professional.
1.3 Public Profiles: Depending on what features you use, you may be required to create a profile. We rely on you to provide accurate profile information but do not verify any information provided by other users.
1.4 Social Features and Coaches: You may access discussions or content from other users or PreventScripts Health Advocacy Coaches (HACs). These interactions are intended to provide health-related support, education, and guidance. By participating, you agree to our Community Guidelines. PreventScripts HACs are not licensed medical professionals. Any guidance they provide should not be interpreted as medical advice. Your interactions do not establish a physician-patient relationship or legal duty of any kind.
1.5 Food, Exercise, and Health Data: As part of the Service, you may log personal health data or interact with health-related educational content. PreventScripts does not verify the accuracy of user-entered information. You should consult your provider or use discretion in relying on health-related data in the platform.
1.6 No Physician-Patient Relationship: PreventScripts is not a licensed medical provider. Any information provided by the Service is for educational and preventive purposes only and should not be construed as medical advice. You should consult your physician before starting or modifying any health program. IF YOU THINK YOU ARE HAVING A MEDICAL EMERGENCY, CALL 911 IMMEDIATELY.
1.7 PreventScripts Communications: We may send you email and push notifications as part of the Service or as part of service-related outreach (“PreventScripts Communications”). Message and data rates may apply to push notifications depending on your device and plan. You may opt out of promotional emails by following the unsubscribe instructions at the bottom of the email; even if you opt out, we may still send you non-promotional messages about your account, such as security, transactional, or service messages.
Text Messaging (SMS) Program:The following terms govern the PreventScripts text messaging program, which is operated by Personal Medicine Plus, Inc. (dba PreventScripts).
- Program description: The PreventScripts SMS program sends transactional messages only. These include one-time passcodes (OTPs) for identity verification and secure login, and account- or care-related notifications such as reminders and service updates tied to your participation in the program. We do not send marketing or promotional text messages to patients.
- Consent: When you complete your assessment, you are asked whether you consent to receive text messages. We send a one-time passcode (OTP) to the mobile number you provide only after you have affirmatively opted in. Your consent to receive text messages is not a condition of receiving care or using the Service.
- Message frequency: Message frequency varies based on your activity and requests.
- Message and data rates: Message and data rates may apply for any messages sent to you from us or to us from you. For questions about your text or data plan, contact your wireless carrier.
- Opt out: You may opt out at any time by replying STOP (you may also reply END, CANCEL, or UNSUBSCRIBE). After you opt out, we will send a single confirmation message, and you will no longer receive text messages from us. To rejoin, opt in again as you did initially, and we will resume sending messages.
- Help: For help with the messaging program, reply HELP or contact us at support@preventscripts.com.
- Carrier liability: Carriers are not liable for delayed or undelivered messages.
- Privacy: Information collected in connection with the SMS program is handled as described in our Privacy Policy. We do not share or sell mobile phone numbers or SMS consent to any third parties or affiliates for marketing or promotional purposes.
1.8 App and Platform Updates: PreventScripts is a dynamic platform that may evolve over time. We may update the platform at any time with or without notice. You may be required to download the latest version of the mobile app or accept new terms to continue use.
1.9 Generative AI Content: PreventScripts may utilize AI-based tools to generate educational content, schedule sessions, and provide technical program support. AI-generated content may occasionally include errors or misinterpretations and should not be relied on for clinical decision-making. AI features do not replace licensed professional advice.
2. YOUR RESPONSIBILITIES
2.1 What You Do: You are responsible for everything you do under your account. Each account is personalized to you, so please don’t share accounts or passwords. Let us know right away if you suspect unauthorized use of your account or any other breach of security. If we suspect the information you provide is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account.
2.2 Linked Accounts: You may be able to link your account with a third-party application or service. If you decide to link your account, you are responsible for ensuring you comply with that third party’s terms and conditions. Any content from that third party shall be considered your User Content and subject to our Privacy Policy.
2.3 Your License: Subject to these Terms and provided you have an active account and subscription, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the features and functionality of our Service during your applicable subscription term.
3. YOUR CONTENT
3.1 What You Provide: PreventScripts may allow you to post content, such as comments, images, or feedback. You are solely responsible for the User Content you post, and you retain any ownership rights you may have in that content.
3.2 How We Use It: You grant us a non-exclusive, royalty-free, worldwide license to use, store, display, reproduce, modify, adapt, and distribute your User Content as needed to operate, provide, and improve the Service. This license does not extend to your health information or other sensitive personal information, which we use and protect only as described in our Privacy Policy and HIPAA Notice. The license ends when you delete the applicable User Content or close your account, except for (a) content you shared publicly or with other users and (b) de-identified or aggregated data. We reserve the right to remove or modify User Content at our discretion.
4. INTELLECTUAL PROPERTY
4.1 Our Rights: Except for your User Content, all intellectual property in the Service is owned by PreventScripts. You may not reproduce, copy, modify, or distribute any part of the Service without our prior written consent.
4.2 Our Trademarks: The PreventScripts name, logo, and any associated marks are trademarks owned by PreventScripts and may not be used without express written permission.
4.3 Your Feedback: Any feedback or suggestions you provide may be used by us in any way, and you assign all rights in such feedback to PreventScripts.
5. CONTENT REMOVAL
5.1 Moderation: We are not responsible for User Content from other users and do not pre-screen it. We may remove any content for any reason at our sole discretion.
5.2 IP Infringement: If you believe your intellectual property rights are being violated, please contact us at legal@preventscripts.com with the appropriate information, including a description of the infringement and your contact info.
6. FEES AND PURCHASE TERMS; AUTOMATICALLY RENEWING SUBSCRIPTIONS
6.1 Billing Period: Subscription periods may be monthly, quarterly, or annual. Charges are processed automatically at the start of each billing cycle unless canceled.
6.2 Service Tiers: Subscription tiers and pricing are disclosed at time of sign-up and may include different features or usage limits.
6.3 Free Trials: PreventScripts may offer free trials. You will be charged after the trial period unless you cancel.
6.4 Automatic Renewal: Before you purchase, we will clearly disclose the subscription price, the billing frequency, and that the subscription renews automatically. By subscribing, you authorize us (or the app store through which you subscribe) to charge your payment method the then-current fee at the start of each billing period until you cancel. Your subscription renews automatically unless you cancel before the next billing date. We will provide any renewal or price-change reminders required by applicable law.
6.5 Price Changes: We may change pricing at any time. If you don’t agree to the new price, cancel before the next billing cycle.
6.6 How to Cancel: You may cancel at any time, using the same method you used to subscribe. To cancel, log in to your account and follow the cancellation instructions, or contact us at support@preventscripts.com. If you subscribed through a third party (e.g., Apple or Google), use that provider’s cancellation process. Cancellation takes effect at the end of your current billing period, and you will retain access until then.
6.7 Refunds: Except where required by law or explicitly stated in writing, all fees are non-refundable.
6.8 Payment Methods: You authorize PreventScripts to charge your provided payment method. Failure to pay may result in suspension or cancellation of access.
7. INDEMNIFICATION
You agree to indemnify, defend, and hold PreventScripts and its affiliates harmless from any claims, damages, liabilities, and expenses arising out of your use of the Service, your User Content, or your violation of these Terms.
8. DISCLAIMERS
8.1 As-Is Service: The Service is provided “as-is” without warranties of any kind. We do not guarantee the Service will be uninterrupted or error-free.
8.2 Not Medical Advice: The Service is not a substitute for medical care. Always consult with a licensed professional for health-related concerns.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by law, PreventScripts is not liable for any indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the greater of $100 or the amount you paid to us in the last 12 months.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence, or any non-waivable statutory rights you may have. Some jurisdictions do not allow certain limitations or exclusions, so some of the above may not apply to you; in that case, our liability is limited to the greatest extent permitted by law.
10. TERMINATION
10.1 By Us: We may terminate or suspend your account at any time for any reason, including violation of these Terms.
10.2 By You: You may terminate your account at any time. Termination does not relieve you of any obligation to pay outstanding fees.
11. SAFETY AND ENFORCEMENT
PreventScripts reserves the right to investigate and take legal action against violations of our policies. We may disclose your information to comply with legal obligations or protect public safety.
12. DISPUTE RESOLUTION
12.1 Informal Process: You agree to attempt to resolve disputes with us informally by contacting support@preventscripts.com before filing a formal claim.
12.2 Arbitration: Any disputes will be resolved by binding arbitration unless you opt out within 30 days of agreeing to these Terms.
12.3 Class Action Waiver: You agree not to participate in class action lawsuits or class-wide arbitration.
13. THIRD PARTIES
13.1 Payment Processors: We use third-party payment providers. Your use of their services is subject to their terms.
13.2 Third-Party Links: The Service may contain links to third-party services or content. We are not responsible for such content or services.
14. GENERAL TERMS
14.1 Entire Agreement: These Terms represent the entire agreement between you and PreventScripts regarding use of the Service.
14.2 Governing Law: This Agreement is governed by the laws of the State of Kentucky, without regard to its conflict of law principles. This choice of law does not deprive you of the protection of any mandatory consumer-protection or other non-waivable rights provided by the laws of the state or country where you reside.
14.3 Severability: If any part of these Terms is found unenforceable, the remaining provisions will remain in effect.
14.4 No Waiver: Our failure to enforce any part of these Terms is not a waiver of our rights.
14.5 Assignment: You may not assign your rights under these Terms. We may assign ours without restriction.
14.6 Force Majeure: We are not responsible for delays or failures caused by events outside our reasonable control.
14.7 Export Compliance: You agree not to use the Service in violation of U.S. export laws.
